Nice! Couple questions:

Are we allowed to rewrite our bylaws in a way that is less legalese-y?

When the bylaws say, "you must perform the duties imposed on you by law", is there a way to find out what those legal duties are?

2. Review and approve annual budget

3. Create Finance & Fundraising Committee
* Full proposal to come (defining scope of responsibilities and limitations)

4. Create Advisory Committee
* I've added some nominations though I haven't yet asked them (tho i will post-Board decision):

5. Approve 2018/2019 officers
* Will has resigned as Secretary (congrats on baby Beck!!)
* I'm self-nominating myself for Treasurer, Mai for President, and Benny for Secretary (though I've yet to ask them myself!) - please feel welcome to nominate yourself or others for these roles.  Officers serve at the discretion of the Board, and have no power/authority over Directors other than signatory and bureaucratic responsibilities. We encourage minimal use of titles in public forums.

Board must consent to each of the agenda items.

This meeting will start promptly at 7pm and wrap no later than 8:30 (with the goal being 8pm to allow for a brief sudomesh weekly checkin).

Nominations for officers and directors are now open. Requirements of the directors are, formally:

SECTION 3. DUTIES

It shall be the duty of the directors to:

(a) Perform any and all duties imposed on them collectively or individually by law, by the Articles of Incorporation of this corporation, or by these Bylaws;

(b) Appoint and remove, employ and discharge, and, except as otherwise provided in these Bylaws, prescribe the duties and the compensation, if any, of all officers, agents and employees of the corporation;

(c) Supervise all officers, agents and employees of the corporation to assure that their duties are performed properly;

(d) Meet at such times and places as required by these Bylaws;

(e) Register their telephone numbers and email addresses with the Secretary of the corporation and notices of meetings mailed, made by telephone or emailed to them at such addresses shall be valid notices thereof.

... which is a board of 18 directors (our bylaws state a max of 19) - kind of a lot but we have a lot of folks who've been committed and participating regularly for nearly or over a year at this point!

Please reply to this thread or privately if you do not wish to serve on the Board. All: you may nominate yourselves or others in addition to my nominations for directors, as well as officers (currently President, Secretary and Treasurer). Officers may also be re-elected. Current officers are Lesley (President), Will (Secretary), and me (Jenny, Treasurer).


We will also vote on establishing one or more committees, namely:
  • An accounting/finance committee (see recent meeting notes at https://sudoroom.org/wiki/Mesh/Accounting ) to better distribute purchase / budgeting responsibilities
  • An advisory committee (consisting of notable allies in community wireless / net neutrality who could serve as advisors and advance our fundraising abilities)
  • Suggested: Node Mounting and Software/Firmware committees consisting of experienced/"certified" volunteers with more formalized processes around, for example, safety and access, respectively.
If you cannot attend the meeting in person but would like to participate, remote participation is possible - just send a followup reply to this email!
