Hi Jenny -
Thanks for sharing the proposal. Personally, I feel that having access
to omni / sudoroom is vital to sudomesh: without having a place to meet
and store things, getting together and doing stuff is much harder. This
is why I support the general idea of supporting omni's facilities
financially via sudomesh.
Some comments/questions:
1. sudomesh does not (legally) have members, only a board of directors.
As far as I understand, the board of directors takes decisions (by
consensus) on entering into legal agreements and taking financial
decisions such as a lease agreement with Omni. Please confirm.
2. in reading through the sample documents, I read in section 8.
Maintenance and Repair: "[...] If Lessee or Lessee's members, guests,
clients, users, volunteers or participants cause or permit damage to the
Premises, the Common Areas or the Property, Lessee shall be liable for
the cost to repair the damage. [...]". This seems fair and follows along
with the "you break it, you fix it" idea. Since sudomesh does not have
members, how do we determine who's associated with sudomesh? Does a
board member takes a tally before each event? Stand at the door at
check? Without keeping track of this, I would imagine that the liability
would be tricky to figure out. Curious to hear your thoughts on this.
3. In section 12. Insurance, I read "[...] Lessee shall obtain and keep
in force general commercial liability insurance covering all of Lessee's
activities at the Premises during all periods that this Lease is in
Effect. Said insurance policy shall have liability limits not less than
$1,000,000 per occurrence for personal
injuries and $2,000,000 aggregate . Said policy must include a Waiver
of Subrogation . Said policy shall name Lessor (Omni Commons) as an
additionally insured . [...]" What is the plan of sudomesh getting such
insurance? I am aware that there's a plan to get directors insurance.
What are you thoughts on this? What are the costs associated with such
an insurance?

the Omni, since Sudo Mesh is its own organizational entity with hella
upswing right now. It's mostly a position of responsibility: attending
2x meetings per month (via a Delegate representative, tho all meetings
are open to the public. any collective can also go 'inactive' after
missing 2 meetings and that's totally okay - we all bizzy) as well as
having at least 2 sudomesh members involved in Omni working groups
(Robb and I already are, so that req is kinda moot). These meetings
are super on-point at this point in time and good learnings for anyone
interested in representative democracy, consensus processes, and
grappling with issues of intersectional oppression.
